About these terms

overunity.ai is operated by Verity AI, based in the United Kingdom. Our registered address is Verity AI Ltd (company number 16116354), 23 Plantagenet Drive, Rugby, England, CV22 6LB. Our contact email is sotiris@verityai.co.

These terms cover two things. The first part governs use of the website by everyone. The terms of business further down govern hirers who use the introduction service.

By using the site you accept these terms. If you do not accept them, please do not use the site.

What the platform does

overunity.ai is a curated talent platform for fractional and freelance AI specialists.

• A hirer posts a role.
• A vetting engine scores how well each practitioner fits the role. It shows the signals behind each score.
• An admin reviews practitioners against a published rubric.
• The platform makes an introduction when a hirer asks for one.

What the platform does not do

The platform makes introductions only. That is the whole of the service.

• It is not a party to any engagement. The hirer contracts with the practitioner directly.
• It never holds or transmits money between the parties. It does not run payroll and it never pays practitioners.
• It does not supply workers. In recruitment law terms it acts as an employment agency making introductions, not as an employment business.
• It does not manage, direct or supervise anyone's work.

Practitioners never pay

Practitioners pay nothing to use the platform. No listing fee. No membership fee. No introduction fee. No deduction from pay. Nothing, in any form, ever.

This is a legal position as well as a selling point. UK recruitment regulation prohibits charging a work-seeker a fee for finding them work.

Terms of business for hirers: fees

Hirers pay for the service. We charge a placement or introduction fee, invoiced by Verity AI. For senior roles we also offer retained search.

We agree the fee with you in writing before we provide the service.

If an introduction leads to an engagement, the introduction fee applies. This is true however the engagement is structured.

You pay the practitioner directly, under your own contract with them. We are not a party to that contract and we take no part in that payment.

Employment status and IR35

We do not determine employment status. We do not decide whether an engagement falls inside or outside the off-payroll working rules, known as IR35.

Employment status and IR35 are matters between the hirer and the practitioner. Each party is responsible for its own position. Each should take its own advice.

Nothing on the platform is tax, legal or employment advice. A vetting outcome or a fit score is not advice either.

What vetting means, and what it does not

Vetting means evidence checked by a person against a published rubric. The practitioner supplies evidence. An admin verifies it and records the outcome.

A fit score is computed by the platform. It comes with the named signals behind it and a confidence level.

Vetting and scores can be wrong. They are an informed view, not a guarantee of anything.

We do not promise that a practitioner will suit a role, be available, or do good work. Before engaging anyone, the hirer must make its own checks. That includes right-to-work checks, references, and any insurance the hirer needs.

We do not promise any practitioner an introduction, a role or an income.

Accounts

• Give accurate information when you register, and keep it up to date.
• Keep your password secret. You are responsible for activity under your account.
• We can suspend or close an account that breaks these terms.

Acceptable use

• Use the site lawfully and honestly.
• Do not scrape the site or harvest practitioner data.
• Do not probe or attack the site's security.
• Do not send spam or unsolicited marketing through the service.
• Do not post anything unlawful, misleading or defamatory.
• Do not impersonate another person or organisation.

Intellectual property

The site and its content belong to Verity AI, except material that users provide.

Practitioners own their profiles and their evidence. They give us a licence to publish and use that material to run the service.

Hirers own their role descriptions. They give us the same kind of licence.

Liability

We run the service with reasonable skill and care.

We are not responsible for the conduct, work or omissions of any hirer or practitioner. We are not responsible for any contract between them.

The law does not allow some liability to be excluded or limited, and we do not exclude or limit it. That includes liability for death or personal injury caused by negligence, and liability for fraud.

Otherwise, we are not liable for indirect or consequential loss. Our total liability to a hirer is limited to the fees that hirer has paid us.

Changes to these terms

We can update these terms. The date above shows when they were last revised.

If you keep using the site after a change, you accept the new terms.

Governing law

These terms are governed by the laws of England and Wales.

The courts of England and Wales will settle any dispute about them.
